Capitalized terms not defined here have the meaning given to them in the Terms of Service.<\/p>\n<h2>1. OBLIGATIONS AND RESPONSIBILITIES OF THE USER<\/h2>\n<p><strong>1.1.<\/strong>&nbsp;The User undertakes to integrate with CBH, or to use the Platform directly, in order to fulfill the shipment requirements.<\/p>\n<p><strong>1.2.<\/strong>&nbsp;The Platform is designed to speed up and simplify the exchange of information and the monitoring of the business conducted between the User and the carrier companies.<\/p>\n<p><strong>1.3.<\/strong>&nbsp;When integrating with CBH, the User acknowledges that CBH will assess the technical criteria that determine whether the integration is complete. Once those requirements are satisfied, CBH will confirm to the User that the procedure is finished.<\/p>\n<p><strong>1.4.<\/strong>&nbsp;The User must take all reasonable precautions to ensure that its employees and any third parties do not infringe CBH&#8217;s intellectual property rights, and must notify CBH promptly on becoming aware of any such infringement.<\/p>\n<p><strong>1.5.<\/strong>&nbsp;The User must take all reasonable steps to ensure that the Platform is used in accordance with these requirements and is responsible for any infringement of CBH or third-party intellectual property rights. Failing that, CBH may prohibit or suspend the User&#8217;s access to the Platform in accordance with Section 22 of the Terms of Service, and the User remains liable for any loss resulting from misuse of the Platform.<\/p>\n<p><strong>1.6.<\/strong>&nbsp;The User must keep its registration with CBH up to date at all times, notifying CBH promptly of any change to its data, including address, telephone number and contact e-mail.<\/p>\n<p><strong>1.7.<\/strong>&nbsp;The User must use packaging adequate for the weight and nature of the goods, in good condition, in accordance with Section 4, and must declare the HS code or equivalent for the contents of the cargo.<\/p>\n<p><strong>1.8.<\/strong>&nbsp;The User is responsible for classifying the goods correctly under the Harmonized Commodity Description and Coding System (HS), using at least six digits. CBH reserves the right to reclassify items in accordance with the customs rules in force at the time of transit.<\/p>\n<p><strong>1.9.<\/strong>&nbsp;The User is exclusively responsible for the information stated on the Shipping Label.<\/p>\n<p><strong>1.10.<\/strong>&nbsp;The User must ensure that the cargo complies with these requirements in order to avoid sanctions imposed by Brazilian authorities.<\/p>\n<p><strong>1.11.<\/strong>&nbsp;The User must carry out cargo preparation at origin, comprising:<\/p>\n<ol type=\"a\">\n<li>creating or processing the packages on the Platform, or through the integration;<\/li>\n<li>affixing the CBH label to each package, which does not apply to FBA sellers; and<\/li>\n<li>shipping the packages to the CBH warehouse.<\/li>\n<\/ol>\n<p><strong>1.12.<\/strong>&nbsp;The User is solely and exclusively responsible for the acts of users and third parties that it permits to use the Platform.<\/p>\n<p><strong>1.13.<\/strong>&nbsp;The User is responsible for paying, when due, all amounts payable under the Terms of Service and this Exhibit.<\/p>\n<p><strong>1.14.<\/strong>&nbsp;The User must protect CBH&#8217;s name, image and brand, avoiding any conduct by its employees, service providers or contractors that could affect CBH&#8217;s reputation.<\/p>\n<p><strong>1.15.<\/strong>&nbsp;Without CBH&#8217;s prior and express approval, the User may not assign or transfer any of the obligations or liabilities arising from these Operational Requirements to third parties.<\/p>\n<p><strong>1.16.<\/strong>&nbsp;CBH is not responsible for any consequence of the User&#8217;s own acts or omissions that results in the blocking, suspension or delay of the Services.<\/p>\n<h2>2. OBLIGATIONS AND RESPONSIBILITIES OF CBH<\/h2>\n<p><strong>2.1.<\/strong>&nbsp;CBH will provide the Services using trained professionals, observing market standards of quality and technical excellence.<\/p>\n<p><strong>2.2.<\/strong>&nbsp;CBH will protect the User&#8217;s name, image and brand, and is accountable for the acts and omissions of its own employees. CBH&#8217;s responsibility for the acts or omissions of Chain Providers is governed by Section 20.6 of the Terms of Service.<\/p>\n<p><strong>2.3.<\/strong>&nbsp;On receipt of the cargo at origin, CBH will provide:<\/p>\n<ol type=\"a\">\n<li>warehouse handling (first mile): verification of package integrity, updating of measurements and weight, and preparation of the packages for international shipment;<\/li>\n<li>air freight and transportation to the destination country;<\/li>\n<li>cargo customs clearance; and<\/li>\n<li>last mile delivery.<\/li>\n<\/ol>\n<p><strong>2.4.<\/strong>&nbsp;CBH will provide the contracted Services observing the following target service levels:<\/p>\n<table>\n<thead>\n<tr>\n<th>Stage<\/th>\n<th>Target<\/th>\n<\/tr>\n<\/thead>\n<tbody>\n<tr>\n<td>Warehouse handling<\/td>\n<td>Up to 3 days<\/td>\n<\/tr>\n<tr>\n<td>Air freight and transportation<\/td>\n<td>Up to 5 days<\/td>\n<\/tr>\n<tr>\n<td>Last mile, Standard<\/td>\n<td>Up to 8 days<\/td>\n<\/tr>\n<tr>\n<td>Last mile, Express<\/td>\n<td>Up to 4 days<\/td>\n<\/tr>\n<\/tbody>\n<\/table>\n<p><strong>2.5.<\/strong>&nbsp;The periods above are counted in business days in the United States and in the destination country. A day treated as a public holiday, optional holiday or commemorative date in either country is not counted as a business day.<\/p>\n<p><strong>2.6.<\/strong>&nbsp;The service levels in Section 2.4 are operational targets and do not run during any period in which the shipment is: (a) retained, inspected or held by a customs authority or other competent authority; (b) awaiting documentation or information from the User under Section 2.6 of the Terms of Service; (c) affected by an event of force majeure under Section 23 of the Terms of Service; or (d) suspended under Section 22 of the Terms of Service.<\/p>\n<p><strong>2.7.<\/strong>&nbsp;CBH will make the Integration and Operations Guidelines available to the User to support proper use of the Platform and of the technical tools.<\/p>\n<p><strong>2.8.<\/strong>&nbsp;CBH will provide the User with the information relevant to the Platform and to the contracted Services, including the location and status of packages and the stage reached in the Services.<\/p>\n<p><strong>2.9.<\/strong>&nbsp;CBH will provide the e-Wallet solution for the User&#8217;s balance control, as described in Section 6.<\/p>\n<h2>3. SCOPE AND CARGO ASSUMPTIONS<\/h2>\n<p><strong>3.1.<\/strong>&nbsp;Import modality.&nbsp;The Services described in this Exhibit apply to imports into Brazil under the express courier remittance or postal remittance modality, with the simplified taxation regime (Regime de Tributa\u00e7\u00e3o Simplificada) applied. The limits set out in Section 3.7 reflect the limits of that regime.<\/p>\n<p><strong>3.2<\/strong>.&nbsp;Shipments outside this scope.&nbsp;Shipments that exceed the limits in Section 3.7, or that require a different import modality, may still be possible under a separate arrangement. The User must contact CBH at support@cb-hub.com before creating any such shipment. Shipments created on the Platform outside the scope of Section 3.1 without that prior arrangement may be refused, returned or held at the warehouse, at the User&#8217;s cost.<\/p>\n<p><strong>3.3.<\/strong>&nbsp;The Services are made available only for lawful goods, whose nature and specification must be the subject of a specific content declaration on the Platform.<\/p>\n<p><strong>3.4.<\/strong>&nbsp;CBH will not be liable for goods that do not comply with applicable law, and will cooperate fully with police, judicial, customs or governmental authorities in relation to any matter arising under these requirements.<\/p>\n<p><strong>3.5.&nbsp;<\/strong>Controlled goods, and goods that by their nature require any authorization, license, certification or approval for shipment and transportation, are the exclusive responsibility of the User, as provided in Section 2.5 of the Terms of Service. Any restriction of this kind is not attributable to CBH.<\/p>\n<p><strong>3.6.&nbsp;<\/strong>Prohibited and restricted items.&nbsp;Prohibited and restricted items are those defined by the competent authorities of the country of origin and of the country of destination, and by the applicable Chain Providers. For shipments destined to Brazil, the following are the principal reference sources:<\/p>\n<ol type=\"a\">\n<li>Receita Federal do Brasil, restrictions and prohibitions for postal and express remittances: https:\/\/www.gov.br\/receitafederal\/pt-br\/assuntos\/aduana-e-comercio-exterior\/manuais\/remessas-postal-e-expressa\/topicos\/restricoes-proibicoes<\/li>\n<li>Correios, prohibitions and restrictions: https:\/\/www.correios.com.br\/enviar\/proibicoes-e-restricoes<\/li>\n<\/ol>\n<p>These sources are indicative, are maintained by third parties, may be updated at any time, and do not replace the User&#8217;s obligation under Section 2.5 of the Terms of Service to verify compliance for each shipment.<\/p>\n<p><strong>3.7.<\/strong>&nbsp;The following physical limits apply to every package:<\/p>\n<table>\n<thead>\n<tr>\n<th>Parameter<\/th>\n<th>Limit<\/th>\n<\/tr>\n<\/thead>\n<tbody>\n<tr>\n<td>Maximum weight<\/td>\n<td>30 kg \/ 66.10 lb<\/td>\n<\/tr>\n<tr>\n<td>Height<\/td>\n<td>2 cm to 100 cm (0.78 in to 39.3 in)<\/td>\n<\/tr>\n<tr>\n<td>Width<\/td>\n<td>16 cm to 100 cm (6.29 in to 39.3 in)<\/td>\n<\/tr>\n<tr>\n<td>Length<\/td>\n<td>11 cm to 100 cm (4.33 in to 39.3 in)<\/td>\n<\/tr>\n<tr>\n<td>Sum of dimensions<\/td>\n<td>Maximum 200 cm \/ 78.74 in<\/td>\n<\/tr>\n<tr>\n<td>Maximum CIF value<\/td>\n<td>USD 3,000 or the equivalent in BRL<\/td>\n<\/tr>\n<\/tbody>\n<\/table>\n<p><strong>3.8.<\/strong>&nbsp;Packages exceeding any limit in Section 3.7 may be refused, returned or held at the warehouse, and any resulting cost is borne by the User.<\/p>\n<p><strong>3.9.<\/strong>&nbsp;Weight applied.&nbsp;Charges are applied on the gross weight of the package as recorded at the CBH warehouse. The weight recorded at the warehouse prevails over the weight declared by the User.<\/p>\n<h2>4. PACKAGING REQUIREMENTS<\/h2>\n<p><strong>4.1.<\/strong>&nbsp;The User is responsible for packaging each shipment so that it withstands ordinary handling, consolidation, air transport and last mile delivery.<\/p>\n<p><strong>4.2.<\/strong>&nbsp;Packaging must, at a minimum:<\/p>\n<ol type=\"a\">\n<li>be new or in sound condition, with no damage, moisture or previous labels visible;<\/li>\n<li>be sealed so that the contents cannot escape or be accessed without visible evidence of tampering;<\/li>\n<li>provide internal protection appropriate to the fragility of the goods, so that the contents do not move freely inside the package;<\/li>\n<li>keep the Shipping Label and the CBH label fully legible and unobstructed; and<\/li>\n<li>meet any additional requirement applicable to the category of goods, as set out in the Integration and Operations Guidelines.<\/li>\n<\/ol>\n<p><strong>4.3.<\/strong>&nbsp;Packaging that does not meet these requirements may be refused at the warehouse, repackaged at the User&#8217;s cost, or shipped at the User&#8217;s risk. Loss or damage arising from inadequate packaging is excluded from Pack Protection under Section 7.9.<\/p>\n<h2>5. TAXATION<\/h2>\n<p><strong>5.1.<\/strong>&nbsp;The tax treatment of a shipment is determined by the import modality applied to it. It is not an election available to the User.<\/p>\n<p><strong>5.2.<\/strong>&nbsp;Express courier remittance.&nbsp;Taxes and duties incurred in the operation are paid in advance. CBH collects the corresponding amount from the User&#8217;s e-Wallet and arranges payment to the responsible bodies through the registered Chain Providers.<\/p>\n<p><strong>5.3.<\/strong>&nbsp;Postal remittance.&nbsp;Taxes and duties are payable by the Recipient at destination. CBH does not collect or advance those amounts, and delivery is conditional on the Recipient completing the payment required by customs.<\/p>\n<p><strong>5.4.<\/strong>&nbsp;Where the Recipient does not complete the payment due under Section 5.3, the goods may be subject to retention, seizure, destruction or return by the customs authority. Where a return occurs, the User bears the cost of return freight to the address of origin, in accordance with Section 2.7 of the Terms of Service.<\/p>\n<p><strong>5.5.<\/strong>&nbsp;For shipments under Section 5.2, the User must:<\/p>\n<ol type=\"a\">\n<li>maintain in the e-Wallet a balance corresponding to the taxes to be collected;<\/li>\n<li>comply with the tax and accounting requirements notified by CBH and in force in the country of destination;<\/li>\n<li>have obtained from its own customers the authorization required for the User to delegate the collection of taxes to third parties designated by CBH, so that the delegation does not breach the data protection law of the country in which the contract was formed or in which the taxes are collected; and<\/li>\n<li>provide any document reasonably required for compliance with that delegation.<\/li>\n<\/ol>\n<p><strong>5.6.<\/strong>&nbsp;Delegation of tax collection covers all lawful acts necessary to complete the collection, including registration and operation on the digital interface of the tax platform of the jurisdiction concerned. Nothing in this Section creates a mandate agreement between the User and CBH.<\/p>\n<p><strong>5.7.<\/strong>&nbsp;Any divergence of information that prevents delivery of the goods, including after the taxes due have been paid, is the responsibility of the User or the Recipient, and CBH is not liable for any claim on that basis.<\/p>\n<h2>6. E-WALLET SOLUTION<\/h2>\n<p><strong>6.1.<\/strong>&nbsp;CBH provides the e-Wallet for the User&#8217;s balance control. The Services are prepaid and are conditional on an available balance in the e-Wallet.<\/p>\n<p><strong>6.2.<\/strong>&nbsp;CBH may make a credit balance available to the User, on terms agreed separately between the parties.<\/p>\n<p><strong>6.3.<\/strong>&nbsp;Provision of the Services is at all times conditional on an available balance or on an available CBH credit balance.<\/p>\n<p><strong>6.4.<\/strong>&nbsp;The User is responsible for maintaining a sufficient balance for its shipments and for any delay in the Services caused by an insufficient balance.<\/p>\n<p><strong>6.5.<\/strong>&nbsp;The e-Wallet operates through&nbsp;<strong>rubrics<\/strong>, each rubric corresponding to a debit or a credit for a given service. The rubrics applied to a package vary according to the import modality and to the services contracted.<\/p>\n<h2>7. PACK PROTECTION SOLUTION<\/h2>\n<p><strong>7.1.<\/strong>&nbsp;Pack Protection is the cargo protection product referred to in Section 11 of the Terms of Service. This Section sets out its scope, requirements and exclusions. The procedure for filing and deciding claims is governed by Sections 11.8 to 11.15 of the Terms of Service.<\/p>\n<h3>Who must have it<\/h3>\n<p><strong>7.2.<\/strong>&nbsp;Pack Protection is&nbsp;<strong>mandatory<\/strong>&nbsp;for Amazon Sellers shipping through the Platform.<\/p>\n<p><strong>7.3.<\/strong>&nbsp;For all other Users, including e-commerce Users, Pack Protection is&nbsp;<strong>optional<\/strong>&nbsp;and may be elected at account level or per shipment, through the Platform, before the package is tendered.<\/p>\n<h3>What is covered<\/h3>\n<p><strong>7.4.<\/strong>&nbsp;Where Pack Protection is in effect for a shipment, it covers:<\/p>\n<ol type=\"a\">\n<li><strong>loss<\/strong>&nbsp;of the package;<\/li>\n<li><strong>misplacement<\/strong>&nbsp;of the package; and<\/li>\n<li><strong>physical damage<\/strong>&nbsp;to the goods occurring while the package is in the logistics chain.<\/li>\n<\/ol>\n<p><strong>7.5.<\/strong>&nbsp;For the purposes of this Section:<\/p>\n<ol type=\"a\">\n<li><strong>Loss<\/strong>&nbsp;means that the package is recorded in the Platform under a Finisher Event of &#8220;Stolen package&#8221; or &#8220;Package not located in the postal flow&#8221;.<\/li>\n<li><strong>Misplacement<\/strong>&nbsp;means that the package has had no tracking movement for 30 consecutive days beyond the applicable service level and cannot be located by the Chain Provider.<\/li>\n<li><strong>Physical damage<\/strong>&nbsp;means damage caused by an event occurring during transport or handling that renders the goods unfit for their intended use. Damage that does not prevent the goods from being used as intended is not physical damage for the purposes of this Section, including cosmetic marks, creases, dents, scuffs and damage confined to the outer packaging. Failure of the goods to function, and any defect of manufacture, design or components, is not physical damage and is not covered. By way of illustration, a book delivered with a creased corner remains fit for its intended use and is not covered, whereas an item whose glass component is broken in transit is covered.<\/li>\n<li><strong>Finisher Event<\/strong>&nbsp;means the final status recorded for a package in the Platform, transmitted by the Chain Provider or by the postal operator.<\/li>\n<\/ol>\n<h3>Basis of indemnity<\/h3>\n<p><strong>7.6.<\/strong>&nbsp;Indemnity is calculated in accordance with Section 11.11 of the Terms of Service, being the value of the products declared by the User in the Platform for the affected shipment, plus the shipping cost rubrics charged to the e-Wallet for that shipment, less the Pack Protection rubric itself.<\/p>\n<p><strong>7.7.<\/strong>&nbsp;No separate coverage limit per package applies. Indemnity is inherently limited by the maximum CIF value permitted under Section 3.7, since the value declared for the products cannot exceed that ceiling.<\/p>\n<p><strong>7.8. <\/strong>Contribution. The Pack Protection contribution is charged as a rubric on the e-Wallet for each covered shipment, calculated as a percentage of the value declared for the products in the Platform, in accordance with the rates in force for the User&#8217;s account. The contribution is charged when the package is processed and must be paid in full before the package is tendered.<\/p>\n<h3>Requirements<\/h3>\n<p><strong>7.9.<\/strong>&nbsp;Cover applies only where all of the following are met:<\/p>\n<ol type=\"a\">\n<li>the package was shipped through the CBH Platform;<\/li>\n<li>the Pack Protection rubric for that package was charged and paid in full before the package was tendered;<\/li>\n<li>the declared value, product quantity and product description recorded on the Shipping Label are those generated by the Platform when the order was processed;<\/li>\n<li>for Amazon Sellers, a valid Amazon Seller Central connection with the CBH Platform is in place; and<\/li>\n<li>the packaging complies with Section 4.<\/li>\n<\/ol>\n<h3>Exclusions<\/h3>\n<p><strong>7.10.<\/strong>&nbsp;Pack Protection does not cover loss or damage arising from:<\/p>\n<ol type=\"a\">\n<li>prohibited, restricted or controlled goods, or goods shipped without a required authorization, license or certification;<\/li>\n<li>inaccurate, incomplete or fraudulent declaration of contents or value;<\/li>\n<li>inadequate or insufficient packaging by the User or its seller;<\/li>\n<li>inherent vice, natural deterioration or ordinary wear of the goods;<\/li>\n<li>seizure, confiscation, retention, destruction, forfeiture or return determined by a competent authority, which is governed by Section 2.7 of the Terms of Service;<\/li>\n<li>delay in delivery, and any loss of profit, loss of revenue, loss of business opportunity or other indirect or consequential loss; and<\/li>\n<li>shipments for which the Pack Protection rubric was not paid in full before tender.<\/li>\n<\/ol>\n<h3>Evidence for damage claims<\/h3>\n<p><strong>7.11.<\/strong>&nbsp;In addition to the requirements of Section 11.9 of the Terms of Service, a damage claim must be supported by:<\/p>\n<ol type=\"a\">\n<li>photographs of the external packaging as received, including the label;<\/li>\n<li>photographs of the damaged goods, showing the condition relied on; and<\/li>\n<li>the Recipient&#8217;s damage report.<\/li>\n<\/ol>\n<h2>8. STORAGE AND RETURNS<\/h2>\n<p><strong>8.1.<\/strong>&nbsp;Packages received at the CBH warehouse are held free of storage charges for 15 days. After that period, storage is charged in accordance with the rates in force for the User&#8217;s account, which are agreed commercially and vary according to the profile of the cargo.<\/p>\n<p><strong>8.2.<\/strong>&nbsp;Packages that cannot be shipped because of an act or omission of the User, including insufficient e-Wallet balance, missing documentation, non-compliant packaging or breach of the limits in Section 3.7, remain in storage at the User&#8217;s cost.<\/p>\n<p><strong>8.3.<\/strong>&nbsp;Where storage charges fall due and remain unpaid, CBH may notify the User and, if the amount is not settled within five (5) Business Days of that notice, return the package to the address of origin or dispose of it, at the User&#8217;s cost. While storage charges continue to be paid, CBH will continue to hold the package.<\/p>\n<p><strong>8.4.<\/strong>&nbsp;Returns determined by a customs authority or other competent authority are governed by Section 2.7 of the Terms of Service.
